Edwards Lifesciences is seeking an experienced contracts manager to join our Legal Department’s Commercial team. The Manager, Legal is responsible for reviewing, analyzing and negotiating a variety of contracts and work cross-functionally with corporate departments and business units. This position also will require the individual to become proficient in the daily use and administrative needs of the company’s Enterprise Contracts Lifecycle Management (ECLM) system. This individual will work under the direction the Senior Manager, Corporate Counsel and will gain exposure to the business, legal and compliance needs of a fast-growing medical device company.
Able to handle complex legal issues, apply critical judgment, and provide efficient and effective contract-related issue resolution, both internally and externally.
Effectively manage high contract volume within designated time constraints.
Draft, review, analyze, negotiate, and manage a wide variety of contract types (e.g., Master Service Agreements (MSAs) and corresponding SOWs, Software as a Service (SaaS) agreements, healthcare professional (HCP) agreements, and development agreements).
Have excellent organizational and communication skills and be able to work collaboratively across different business functions and global regions.
Contribute to the development and improvement of the contract template library and the efficiency of the legal contract management process.
Assist in developing and updating applicable contract policies and procedures.
Effectively manage various tasks and legal projects in addition to daily contract review needs.
Manage outside counsel resources and assignments and manage corresponding contract-related correspondence and documentation.
Assist with training on the use of contract management system (ECLM) and contract review processes.
Develop metrics and reports from the ECLM system to assess business impact and results (e.g., measure cycle time, contract expiration dates, volume of contracts, etc.).
Facilitate communications with, and building consensus among, colleagues and management.
Collaborate effectively with employees at all levels of the corporation; analyzing problems and presenting solutions, alternatives and risk analysis; gaining the confidence and respect of management, and driving projects to completion.
Requirements / Qualifications:
Bachelor’s degree required with six years of progressive responsibility with quantifiable results in contract negotiation, administration and/or management; or Master’s degree with four years of experience negotiating and managing contracts.
Paralegal certification or J.D. degree with in-house legal department experience is preferred.
Strong writing, editing, and presentation skills are a must.
Able to effectively navigate and build cross-functional relationships in a complex global business environment.
Mature, independent judgment and excellent communication and interpersonal skills.
Ability to think strategically and to formulate creative and practical legal business solutions is critical.
Ability to multi-task and prioritize issues.
Must be capable of working independently and as part of a team.
Background in the medical device, pharmaceutical, or other relevant healthcare industry is preferred.
Proficiency with MS-Office Suite applications (e.g., Word, Excel, Outlook, PowerPoint).
Proficiency with a Contract Lifecycle Management (CLM) system or similar system(s) is a plus.
